Payment Terms
WayAi Solutions offers two payment arrangements:
1. Full Payment Upon Delivery — The client pays the full amount once all deliverables are completed and delivered

2. 50/50 Payment Arrangement — The client pays 50% downpayment before any work begins. The remaining 50% is due upon final delivery before access is granted. No project work begins until the agreed downpayment or full payment has been received and confirmed. WayAi Solutions reserves the right to withhold all deliverables and access credentials until full payment is received.
REVISIONS
WayAi Solutions offers unlimited revisions throughout the active development phase of the project, prior to final delivery.
A revision refers to adjustments within the originally agreed scope of work — changes to design, copy, layout, or automation logic.
The following are NOT considered revisions and may incur additional charges:
-Requests that fall outside the originally agreed project scope
- New features, pages, or automations not included in the original proposal
- Changes requested after final delivery has been completed and accepted Any modifications after final delivery is accepted are subject to a separate quotation.
Project Timeline / Delivery
Standard project timelines:
- Simple projects (basic website or single automation): 5–7 business days
- Complex projects (multi-page website + full automation stack): 10–14 business days The exact timeline is agreed upon before project commencement
. The timeline is contingent upon the client providing all necessary materials — logos, content, photos, credentials, and approvals — in a timely manner. Delays caused by the client will result in a corresponding extension of the delivery timeline.
WayAi Solutions shall not be held liable for such delays. WayAi Solutions is not responsible for delays caused by outages of third-party platforms such as Make.com, Framer, Google, or Meta.
Ownership
-Website Ownership: Upon full payment, the client owns all website content, design assets, and intellectual property produced for their project. The website is delivered and transferred through the client's own Framer account, enabling the client to manage and edit their website independently.
-Automation Hosting: All automation workflows are hosted on WayAi Solutions' Make.com account. The client is granted functional access. Should the client require full ownership or migration of automations, this shall be agreed upon separately and may incur additional costs.
Third-Party Platforms: WayAi Solutions builds on platforms including Framer, Make.com, Google Workspace, Tidio, ManyChat, and Telegram. Continued functionality is subject to those platforms' own terms. WayAi Solutions is not liable for changes, outages, or pricing updates made by third-party providers.
Refund Policy
Refunds Before Delivery: Refund requests before final delivery are evaluated case by case. Refunds may be granted if:
- WayAi Solutions is unable to deliver the agreed scope of work
- The project is cancelled by WayAi Solutions without cause
- Both parties mutually agree to terminate the project prior to delivery No Refund After Delivery:
No refunds are issued once the final deliverable has been completed, delivered, and accepted by the client. The client is encouraged to raise all concerns and request all revisions prior to accepting delivery. Downpayment: The 50% downpayment is non-refundable if the client cancels the project after work has commenced, as it covers initial planning, design, and development costs already incurred.
Maintenance And Retainer
Complimentary Period: All completed projects include 3 months of free support and maintenance from the date of final delivery. During this period, WayAi Solutions addresses bugs, minor issues, and minor adjustments at no additional cost.
Monthly Retainer Rates: After the complimentary period, the client may opt into a monthly retainer: -
- Website only: ₱1,000–₱1,500 per month
- Website + Automation: ₱1,500–₱2,500 per month
- Automation: ₱1,500–₱2,500 per month
The exact rate is determined based on the complexity of the client's active systems. Retainer Cancellation: Either party may cancel the retainer with a minimum of 15 days written notice. No refunds are issued for the current billing period upon cancellation.
Confidentiality And Data Privacy
Client Data: All client information — including business details, contact information, customer data, and credentials — is stored securely within WayAi Solutions' internal CRM and database only. It is never shared with third parties without the client's explicit consent.
Confidential Information: Both parties agree to keep confidential all proprietary information, systems, processes, and materials shared during the engagement. This obligation survives termination of the service agreement.
Portfolio Rights: WayAi Solutions reserves the right to feature completed work in its portfolio, website, and social media for promotional purposes, unless the client explicitly requests otherwise in writing prior to project commencement.
General Provision
Agreement: By proceeding with any paid engagement with WayAi Solutions, the client acknowledges they have read, understood, and agreed to these Terms and Conditions.
Amendments: WayAi Solutions reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes. Continued engagement constitutes acceptance of the updated terms.
Governing Law: These Terms and Conditions are governed by the laws of the Republic of the Philippines.
